General Terms

1. You must be 18 years or older to use this Service.
2. You must be a human. Accounts registered by ‘bots’ or other automated methods are not permitted.
3. You must provide accurate and complete information to us during your use of the service including as part of the registration process, Examples of information we will request include but are not limited to your legal full name, a valid email address, and any other information required to provide our mpoints.io service.
4. Your login may only be used by one person. A single login shared by multiple persons is not permitted.
5. You are responsible for all activity that occurs under your account (even if activity is generated by others.
6. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.

mpoints.io Service and Registration Process

7. To use our service you must complete the Registration Profile.
8. We will use information provided in the Registration Profile to deliver our service. We will use the information provided in the Registration Profile and that we acquire through your use of the service to improve our service, and we will share your information with our third party service providers that may be listed from time to time in mpoints.io Privacy Policy.
9. The mpoints.io service is the application that facilitates the email service and the ability to accumulate points / rewards only. Points / rewards are later converted to Crypto-currency units by the Members directly through our third party conversion exchanges.
10. mpoints.io does not issue, redeem or otherwise process Crypto-currency units.
11. mpoints.io will calculate the Cypto-currency units accrued to your account through your use of the mpoints.io service, i.e. engagement with the emails that received.
12. You will also need to register for a Cypto currency Account at CoinBase (https://support.coinbase.com/) for converting points into Crypto-currency.
13. mpoints.io will report the value of Cypto currency units earned through use of your email account to Coinbase. You will be able to redeem your Cypto-currency as set out in the Coinbase service.
14. mpoints.io is not responsible for any portion of the Coinbase service. You must contact Coinbase directly with any questions or issues you may have with their service.

The mpoints.io Rewards Service

15. Once client has successfully registered for the mpoints.io service, Client will be required to login to mpoints.io.
16. From the Client homepage, the Client will need to create a “New Campaign” and or re-use data from a previous campaign.
17. Client must enter a name, category for the email campaign (e.g. Finance), Client will enter the email subject and body (via copy and paste of the html). Currently, any javascript, css and images in the email will need to be hosted on an internet facing server.
18. There will be a “test” button to send the test email to an email address to validate that it looks ok
19. Once the Client has had an opportunity to review content of Client’s email, Client can launch the Campaign that will be sent to matching mpoints.io Members.
20. mpoints.io Members are third party users of the mpoints.io service who have expressed an interest in the category targeted by the Client (e.g. Finance), will get an email from mpoints.io Service.
21. mpoints.io Members will need to review their email settings to assure that mpoints.io email is directed to their inbox (not junk or spam).
22. As the mpoints.io member interacts with the email, the following events can be tracked (a) Email Delivered (b) Email Opened; and (c) Email Link Clicked
23. Each event will be tracked by mpoints.io and mpoints.io Cypto-currency points will be assigned by mpoints.io to Member account by mpoints.io
24. Points allocation is done algorithmically which may change from time to time. mpoints.io reserves the right to change this as appropriate based on the campaign size and may not publish this information.
25. The member can login to mpoints.io and see in their mpoints.io account their points balance. mpoints.io confirms that points balance updates may be delayed.
26. An Unsubscribe is included in each Member email sent using mpoints.io service. If a mpoints.io Member unsubscribes from a Client, no further emails will be sent to that Member.

Cypto-currency Redemption for Clients and Members

27. mpoints.io members accumulate Cypto-currency points on mpoints.io application. However members will be able to convert their points at their Coinbase account which they have opened and linked to mpoints.io.
28. mpoints.io and Coinbase are different businesses and mpoints.io is not responsible for the performance or lack of performance of the Coinbase service.
29. mpoints.io members will be able to access their individual Points History and click the Cashout button. mpoints.io will link the user to Coinbase site to start the Cashout flow:
1. A calculation will be done to convert Points to Crypto-currency based on the current market rate by coinbase.com
2. The customer’s points balance at mpoints.io account will drop to 0 and a Cashout entry will be added to the customer’s Points History
3. mpoints.io member and Coinbase will then work tighter to redeem the points as Cypto-currency
4. If a mpoints.io member’s account is inactive (no activity) for more than six Months in a row (182 days) the account balance will be forfeited to mpoints.io.

Changes to Service

30. We may revise (including terminate) any portion or all of the mpoints.io service at any time for any reason.

Termination

31. We may terminate or suspend your account for violations of our terms of service.
32. If we terminate your account any unredeemed Cypto-currency units will be immediately forfeited to us.

Security

33. You are responsible for maintaining the confidentiality of your account information and any passwords.
34. You are fully responsible for all activities that occur under your password or account.
35. You agree to (a) immediately notify mpoints.io at [email protected] ] of any unauthorized use of your password or account or any other breach of security, and (b) to ensure that you exit from your account at the end of each session.
36. mpoints.io will not be liable for any loss or damage arising from your failure to comply with this section.

Intellectual Property

37. mpoints.io or its licensor owns or has all rights to provide the mpoints.io Service. No portion of the mpoints.io service may be copied without mpoints.io's prior written permission.

Warranties and Liability

38. Our service is provided on an “AS IS” basis.
39. mpoints.io does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.
40. You expressly understand and agree that mpoints.io shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from: (i) the use or the inability to use the Service, including but not limited to how you reward customer activity (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the Service.
41. Apart from any liability which cannot be disclaimed by operation of law, mpoints.io is not liable to you in any way for any damage you may incur as a result of your use of the service or AUD $50 whichever is the lesser.

Content ownership and conduct

42. mpoints.io or its licensor owns or has licensed all Intellectual Property used by the mpoints.io service. Any Content created by or for specifically for mpoints.io is owned by mpoints.io.(“mpoints.io Content”).
43. You, and not mpoints.io, are entirely responsible for all Content that is not mpoints.io Content that you or any of the users under your account upload, post, email, transmit or otherwise make available via the Service. mpoints.io does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that you feel is offensive, indecent or objectionable. Under no circumstances will mpoints.io be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Use of information
44. We will protect personal information by using reasonable security safeguards against loss or theft, as well as unauthorized access, disclosure, copying, use or modification.
45. You understand that we use non-identifying and aggregate information to better design our services.
46. You consent that your company name and data collected about your customers’ engagement through the mpoints.io Service can be shared publicly. Customer names would be anonymised. As an example, we may state that: “within two months customers signup increased 22%, sales increased 34% and 100 customers were successfully referred.

General Terms

47. You understand that mpoints.io uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service. mpoints.io is not responsible for the acts or omissions of its third party service providers including a default of their service that adversely impacts the mpoints.io service.
48. You must not modify, adapt or hack the mpoints.io Service or modify another website so as to falsely imply that it is associated with the Service.
49. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission of mpoints.io.
50. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any mpoints.io employee, member, or third party may result in immediate account suspension or termination.
51. You understand that the technical processing and transmission of the Service may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
